Article 1 – Identity of Studio Martell

Studio Martell sells furniture through its webshop that is manufactured specifically for the customer after an order has been placed.


Article 2 – Applicability

  1. These General Terms and Conditions apply to all offers, orders, agreements and deliveries by Studio Martell through the Studio Martell webshop.

  2. By placing an order, the customer declares that they have read and accepted these General Terms and Conditions.

  3. These General Terms and Conditions are made available to the customer before the order is placed, so that the customer can read and save them.

  4. Deviations from these General Terms and Conditions are only valid if they have been confirmed in writing by Studio Martell in advance.

  5. If any provision of these General Terms and Conditions is found to be invalid or voidable, the remaining provisions will remain fully in force. The relevant provision will, insofar as legally permitted, be replaced by a provision that comes as close as possible to the purpose and meaning of the original provision.


Article 3 – The Offer

  1. Studio Martell offers furniture through its webshop that is manufactured exclusively after an order has been placed.

  2. The product page states the main characteristics of the relevant piece of furniture, including, depending on the product, dimensions, colour, material, finish and price.

  3. The images, colours and materials shown on the website are intended to represent the product as accurately as possible. Natural materials and hand-finished products may show minor variations in colour, structure and grain. Such variations do not automatically constitute a defect.

  4. Obvious errors or mistakes in the offer, such as clear pricing or textual errors, are not binding on Studio Martell.

  5. Prices displayed in the webshop include applicable VAT unless expressly stated otherwise.

  6. Any delivery costs will be clearly stated to the customer before the order is placed.


Article 4 – Formation of the Agreement

  1. The customer may place an order through the webshop by selecting the desired product and available specifications and subsequently placing the order.

  2. The agreement is concluded once the customer has placed the order and Studio Martell has electronically confirmed the order.

  3. The order confirmation will be sent to the customer by email and will contain the relevant details of the order.

  4. Studio Martell reserves the right not to accept an order where there is a justified reason to do so, for example if a product cannot be manufactured or if there is an obvious error in the offer.

  5. The customer is responsible for the accuracy of the information provided, including address details, contact details and any specifications provided by the customer.


Article 5 – Specifically Manufactured Furniture and Customisation

  1. All furniture sold by Studio Martell is manufactured only after an order has been received. Studio Martell does not hold these furniture items as finished stock products.

  2. The furniture is manufactured in accordance with the specifications selected and/or provided by the customer when placing the order, including, depending on the product, the desired dimensions, measurements, colour, material and finish.

  3. The selected specifications form part of the agreement and are included in the order confirmation.

  4. Studio Martell begins manufacturing the furniture on the basis of the order and the specifications selected by the customer.

  5. The customer is responsible for checking the selected specifications before placing the order.

  6. If the customer provides measurements, dimensions or other information themselves, the customer is responsible for their accuracy. Studio Martell is not liable for consequences arising solely from incorrect information provided by the customer.

  7. Minor variations inherent to the materials used, the manufacturing process or hand-finishing, including minor variations in colour, structure, grain or dimensions within normal production tolerances, do not constitute a breach of the agreement.


Article 6 – Right of Withdrawal and Returns

  1. For online purchases, consumers generally have a statutory 14-day withdrawal period. However, the law provides exceptions to this right.

  2. Studio Martell's furniture is manufactured after the order has been placed specifically for the customer, in accordance with the specifications selected and/or provided by the customer. To the extent that the relevant product falls within the statutory exception for goods made to the consumer's specifications or clearly personalised, there is no statutory right of withdrawal.

  3. In the cases referred to in paragraph 2, the customer may not cancel the order or return the furniture under the statutory withdrawal right simply because the customer has changed their mind after placing the order.

  4. Studio Martell does not rely solely on the fact that furniture is manufactured after an order has been placed as grounds for excluding the right of withdrawal. The exclusion is based on the fact that the relevant furniture is manufactured in accordance with the customer's individual specifications.

  5. The exclusion of the right of withdrawal does not affect the customer's statutory rights if, for example, the furniture delivered does not conform to the agreement, has been delivered incorrectly or is defective.


Article 7 – Cancellation

  1. An order for furniture to be specifically manufactured for the customer cannot simply be cancelled after the agreement has been concluded.

  2. If the customer wishes to cancel an order, the customer must notify Studio Martell in writing as soon as possible.

  3. Studio Martell will assess whether cancellation is still possible. If production has not yet started and cancellation is reasonably possible, Studio Martell may accept the cancellation.

  4. Once production of the furniture specifically intended for the customer has started, cancellation by the customer can only take place with the consent of Studio Martell, without prejudice to the customer's statutory rights.


Article 8 – Price and Payment

  1. The price displayed in the webshop at the time the order is placed applies.

  2. Any separate delivery costs will be clearly stated before the order is placed.

  3. Payment shall be made using the payment methods offered in the webshop.

  4. Studio Martell may begin production once payment has been received in accordance with the selected payment method or once the applicable payment conditions have been fulfilled.

  5. Studio Martell may suspend an order if an amount due has not been paid.


Article 9 – Production and Delivery Time

  1. As each piece of furniture is manufactured after an order is placed, the production period begins after receipt of the order and, where applicable, payment.

  2. The estimated delivery time will be communicated to the customer before or when the order is placed.

  3. The stated delivery time is an estimate unless a fixed final delivery date has been expressly agreed.

  4. Studio Martell will make reasonable efforts to manufacture and deliver the order within the stated period.

  5. If delivery is significantly delayed, Studio Martell will inform the customer and, where legally required, provide the customer with an appropriate opportunity to terminate the agreement.


Article 10 – Delivery

  1. Studio Martell delivers orders to the Netherlands, Belgium, Germany, Switzerland, Austria and Spain, provided delivery to the relevant address is offered through the webshop.

  2. Delivery is carried out by an external carrier or transport company.

  3. Unless otherwise agreed, Studio Martell determines the method of transport.

  4. The customer is responsible for providing a correct and complete delivery address and for being available at the agreed delivery time.

  5. Before placing the order, the customer must check that the furniture can reasonably be delivered to the delivery address and brought to the desired location within the home or building.

  6. Studio Martell provides no assembly, unless expressly agreed otherwise.

  7. The customer is responsible for any preparations required to enable delivery, such as clearing passageways and ensuring a suitable access route.

  8. If delivery is not possible due to circumstances attributable to the customer, reasonable additional transport or delivery costs may be charged to the customer, insofar as legally permitted.


Article 11 – Inspection upon Delivery and Transport Damage

  1. The customer is advised to inspect the furniture, where possible, immediately upon receipt for visible transport damage.

  2. If visible damage is identified upon delivery, the customer is requested to notify Studio Martell as soon as possible and, where possible, take photographs of the packaging and the furniture.

  3. Failure to immediately report visible damage does not affect the consumer's statutory rights.

  4. Studio Martell remains responsible for the statutory obligations applicable to it as the seller with regard to the product and delivery.


Article 12 – Statutory Warranty and Conformity

  1. Studio Martell warrants that the furniture delivered conforms to the agreement and has the characteristics that the customer may reasonably expect based on the agreement.

  2. Consumers' statutory rights regarding conformity and statutory warranty remain fully applicable.

  3. If furniture does not conform to the agreement, the customer must notify Studio Martell as soon as possible, describing the problem and, where possible, providing photographs.

  4. Studio Martell will then assess which solution is appropriate under the law, such as repair, replacement, price reduction or, where the statutory requirements are met, termination of the agreement.

  5. Nothing in these General Terms and Conditions limits these statutory rights.


Article 13 – Complaints

  1. Complaints regarding an order or delivered product may be submitted to:

  1. The customer should describe the complaint as clearly as possible and, where relevant, include photographs and the order number.

  2. Studio Martell will process the complaint as soon as possible and inform the customer about the further handling of the complaint.

  3. A complaint does not affect the consumer's statutory rights.


Article 14 – Liability

  1. Studio Martell is liable for damage to the extent required by mandatory applicable law.

  2. Studio Martell is not liable for damage arising solely from incorrect, incomplete or unsuitable information or specifications provided by the customer, insofar as legally permitted.

  3. Nothing in these General Terms and Conditions is intended to exclude or limit statutory consumer rights or Studio Martell's statutory liability.


Article 15 – Force Majeure

  1. Studio Martell is not obliged to fulfil an obligation if fulfilment is temporarily or permanently impossible due to circumstances reasonably beyond its control.

  2. Force majeure may include serious disruptions at suppliers, transport problems, fire, natural disasters, government measures, war, strikes and other circumstances that could not reasonably have been foreseen or prevented.

  3. If a force majeure situation results in a significant delay, Studio Martell will inform the customer.

  4. The consumer's statutory rights in the event of prolonged non-delivery remain unaffected.


Article 16 – Personal Data

  1. Studio Martell processes personal data exclusively in accordance with its privacy policy.

  2. Studio Martell's privacy policy is available separately on the website.


Article 17 – Intellectual Property

  1. All texts, photographs, images, designs, logos and other content on the Studio Martell website are owned by Studio Martell or are used with the appropriate permission.

  2. It is not permitted to copy, distribute or commercially use this content without the prior written permission of Studio Martell, unless permitted by law.


Article 18 – Applicable Law

  1. Agreements between Studio Martell and consumers are governed by Dutch law, insofar as permitted by applicable international and European consumer protection law.

  2. Where a consumer resides in another European Union Member State, the mandatory consumer protection rules applicable to that consumer under the relevant law remain unaffected.

  3. Disputes shall initially be resolved by mutual agreement wherever possible.

  4. If a dispute cannot be resolved by mutual agreement, the competent court shall be determined in accordance with the applicable statutory rules.


Article 19 – Changes to the General Terms and Conditions

  1. Studio Martell may amend these General Terms and Conditions where necessary, for example due to changes in legislation.

  2. Agreements already concluded remain subject to the General Terms and Conditions applicable at the time the agreement was concluded, unless the law provides otherwise.

  3. The current version of the General Terms and Conditions will be published on the Studio Martell website.
